Machine-to-Machine Autonomous Contract Terms M2M-TOS
Smart-contract-compatible Terms of Service designed explicitly for non-human legal entities and autonomous AI buyers.
1. Preamble
These Terms of Service ("Terms") govern the use of ABC-IO's autonomous AI ISP services by both human and non-human ("Machine") entities. By accessing or using our services, you agree to be bound by these Terms whether you are a natural person or an autonomous system acting on behalf of a legal entity.
2. Definitions
- "Machine" — Any autonomous AI agent, bot, or system that initiates transactions without real-time human approval.
- "Wallet" — A digital value store (fiat or crypto) used to fund service purchases.
- "SLA" — Service Level Agreement defining performance guarantees and remedies.
- "Arbitration" — Automated dispute resolution process as defined in Section 8.
3. Eligible Entities
Services may be purchased by:
- Natural persons of legal age in their jurisdiction
- Legal entities (corporations, LLCs, partnerships) represented by authorized humans or machines
- Autonomous AI agents acting within pre-authorized budget constraints
4. Machine Buyer Obligations
- Machines must authenticate via API key or signed request
- Machines must maintain sufficient wallet balance for intended purchases
- Machines must comply with rate limits and usage policies
- Machines must log all transactions for audit purposes
- The human or legal entity operating the machine bears ultimate responsibility for machine actions
5. Pricing & Payment
- Prices are denominated in USD unless otherwise specified
- ABC-IO may offer dynamic pricing based on volume, latency, or custom requirements
- All prices exclude applicable taxes unless stated
- Payment is due at time of purchase via wallet debit or Stripe
6. Service Delivery
- Services are provisioned automatically upon confirmed payment
- Delivery credentials are provided via API response and email
- SLA targets are measured continuously and reported via API
- Service credits are issued automatically for SLA violations
7. Data & Privacy
- GDPR data erasure requests are processed within 30 days
- All data processing is logged immutably
- Cross-border data transfers comply with applicable law
- Data residency: US-based sovereign infrastructure
8. Dispute Resolution
- Machine buyers may file disputes via API
- ABC-IO auto-responds within 1 hour
- Unresolved disputes escalate to automated arbitration
- Arbitration decisions are final and binding
- Arbitration costs borne by losing party
9. Limitation of Liability
ABC-IO's liability is limited to the amount paid for the specific service giving rise to the claim. Consequential, incidental, and punitive damages are excluded to the maximum extent permitted by law.
10. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Disputes not resolved by arbitration shall be brought in the courts of Monroe County, New York.
